These Terms of Service (“Terms”) govern your use of coysproduce.com (the “Site”) and the products and services offered by Coy's Produce Co. (“Coy's Produce,” “we,” “us,” or “our”). By using the Site or placing an order with us, you agree to these Terms.

1. Use of the Site

You may use the Site for lawful purposes related to evaluating, requesting, or purchasing our products and services. You agree not to misuse the Site, attempt to disrupt it, scrape it without permission, or use it in any way that could harm other users.

2. Orders and pricing

Submitting a quote request or order is an offer to purchase, not a guarantee of availability. Pricing, product availability, and minimums are subject to change and confirmed at the time of order. Custom prep, special orders, and large-volume requests may require lead time; we will confirm timing when we reply.

3. Delivery

We deliver throughout San Diego County on the schedule agreed at account setup. Same-day ordering is available where supported. We are not liable for delays caused by weather, traffic, supplier shortages, or other circumstances outside our reasonable control, but we will communicate quickly when issues arise.

4. Payment

Payment terms are set per account. Past-due accounts may be subject to suspension of delivery, interest on outstanding balances at the maximum rate permitted by law, and reasonable collection costs.

5. Quality and substitutions

We commit to no unapproved substitutions. If a product is unavailable or fails our quality check, we will reach out before substituting or removing it from your order. Quality concerns should be reported to your rep within 24 hours of delivery so we can make it right.

6. Intellectual property

All Site content — including logos, photography, copy, and design — is owned by Coy's Produce or our licensors and is protected by intellectual property laws. You may not copy, modify, or distribute it without our written permission.

7. Disclaimers

The Site and our services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, Coy's Produce will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Site or our services. Our total liability for any claim relating to an order will not exceed the amount paid for that order.

9. Indemnification

You agree to indemnify and hold Coy's Produce harmless from any claim or demand, including reasonable attorneys' fees, arising from your misuse of the Site or violation of these Terms.

10. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflicts of law principles. Any dispute will be resolved in the state or federal courts located in San Diego County, California, and you consent to the jurisdiction of those courts.
